Gaming Innovation Group Inc.’s Annual Shareholder Meeting

The Annual Meeting of Shareholders of Gaming Innovation Group Inc. took place today, May 22, 2024, in the busy metropolis of Stockholm, Sweden. Shareholders attended the meeting in person or by proxy, accounting for an impressive 57.10% of the shares having voting rights.

Unveiling Key Resolutions

The meeting’s highlight was the overwhelming adoption of the Company’s meticulously prepared Annual Report for 2023. In a display of unity, the shareholders agreed to establish a five-member Board of Directors.

Mikael Riese Harstad was re-elected as a Director of the Board, with the coveted title of Chairman. Furthermore, Hesam Yazdi has been re-elected.

Furthermore, shareholders elected Cristina Romero de Alba, Mateusz Juroszek, and Nicholas Batram as new Board Directors. The Nomination Committee’s proposed compensation for the Board of Directors was also approved.

Empowering the Nomination Committee

The Annual Meeting deliberated on the number of members for the Nomination Committee, which should be at least three but no more than four. On August 31, 2024, the three largest owners will appoint the committee, whose major objective will be to represent all shareholders’ interests.

Forward-thinking Decisions

Ending the meeting on a positive note, the shareholders decided to re-appoint REID CPAs LLP as the company’s auditors. Furthermore, the Board of Directors was granted the authority to repurchase previously issued and outstanding shares of the Company, as specified in the Notice of Annual Meeting of Shareholders.

GiG Media and Platform Boards

During the reorganization process, the corporation announced the creation of two distinct board compositions. GiG Media will operate within GiG’s current corporate structure, with GiG serving as the listed holding company. GiG Platform, which is presently operating as a GiG subsidiary, is expected to be given to GiG investors later this year. Petter Nylander chairs GiG Platform’s board of directors, which also includes key members Nicolas Adlercreutz, Mikael Riese Harstad, Hesam Yazdi, Tomasz Juroszek, and Steve Salmon.
